Effective Date: January 1, 2026 | Last Updated: September 2026

Welcome to Vigiash Engineering Solutions Pvt. Ltd. ("Vigiash"). By accessing our website (www.vigiashengineering.com), requesting an engineering quotation, submitting tender documentation, or commissioning turnkey works, you agree to comply with and be bound by the following Terms and Conditions.

1. Engineering Quotations & Proposals

Any technical estimation, Bill of Quantities (BOQ), design brief, or financial proposal provided by Vigiash is an invitation to treat based on site parameters and architectural assumptions available at the time of calculation:

  • Validity: Standard techno-commercial quotations remain valid for 30 calendar days from the date of issuance unless explicitly stated otherwise in writing.
  • Material Escalation: Quotations are formulated based on prevailing raw material indices (structural steel, copper, cement, ducting sheet metal). Unprecedented statutory duties or international commodity fluctuations may warrant proportional revision upon mutual agreement.
  • Site Survey Verification: All estimations are subject to confirmation following detailed physical site inspections, soil load-bearing verification, and structural validation.

2. Turnkey EPC & Project Execution Scope

Contractual deliverables for Turnkey Projects (Design & Build), MEP Works, HVAC installations, and Interior Fit-Outs are governed by the formal Work Order (WO) or Master Service Agreement (MSA):

  • Engineering Standards: All works are executed adhering strictly to the National Building Code (NBC) of India, IS codes, ASHRAE standards for HVAC, and ISO 9001:2015 quality frameworks.
  • Change Orders: Any variation, structural deviation, or client-initiated scope modification will be documented via a formal Change Order detailing adjusted timelines and financial impact before execution begins.
  • Work Permits & Clearances: Client is responsible for facilitating timely site handover, power/water connectivity for construction, and preliminary regulatory clearances unless turnkey statutory liaisoning is explicitly contracted in our scope.

3. Payment Milestones & Invoicing

Commercial settlements follow structured milestone schedules specified in the executed agreement:

  • Mobilization Advance: Facilitates material procurement, equipment logistics, and site labor deployment.
  • Running Account (RA) Bills: Submitted progressively against verified site milestones and Joint Measurement Records (JMR).
  • Taxes: All payments are subject to applicable Goods and Services Tax (GST) as mandated by the Government of India.
  • Retention Monies: Defect Liability Period (DLP) retention amounts are released upon satisfactory completion of warranty audits.

4. Quality Assurance & Safety (EHS)

As an ISO 9001:2015 certified organization (International Certification Services Pvt. Ltd. - ICS), Vigiash enforces a non-negotiable Zero Harm Culture. All on-site personnel, subcontractors, and visiting stakeholders must strictly adhere to Personal Protective Equipment (PPE) standards, permit-to-work protocols, and environmental hazard mitigation procedures.

5. Annual Maintenance Contracts (AMC) & SLAs

AMC agreements for MEP, HVAC, and industrial substations are governed by the specific Service Level Agreement (SLA):

  • Scheduled Preventive Upkeep: Performed according to pre-defined manufacturer inspection intervals.
  • Emergency Breakdown Support: Priority 24/7 technical dispatch with committed response intervals for mission-critical client infrastructure across Maharashtra.
  • Exclusions: Consumables, refrigerant top-ups, and major structural replacements unless specifically included in Comprehensive AMC packages.

6. Intellectual Property & Technical Ownership

All preliminary conceptual drawings, 3D architectural renders, MEP single-line diagrams (SLDs), HVAC duct layout designs, and calculation sheets prepared by Vigiash remain the intellectual property of Vigiash Engineering Solutions Pvt. Ltd. until full contractual settlement. Clients are granted a non-exclusive license to use finalized designs solely for the designated project site.

7. Force Majeure & Limitation of Liability

Neither party shall be liable for project interruptions resulting from events beyond reasonable operational control, including natural disasters, catastrophic weather, pandemic lockdowns, civil unrest, or statutory government embargoes. In all events, the aggregate cumulative liability of Vigiash Engineering Solutions Pvt. Ltd. for any claim arising under a contract shall not exceed the actual fees received for the specific service milestone giving rise to the claim.

8. Governing Law & Dispute Jurisdiction

These terms and all commercial project engagements shall be governed by and interpreted in accordance with the substantive laws of India. In the event of any contractual dispute, parties agree to first seek amicable resolution through executive conciliation. Any unresolved disputes shall be subject to the exclusive jurisdiction of the competent courts of Pune, Maharashtra, India.
